This End-User License Agreement (“Agreement”) is a legal agreement between The WolfStrata Group Inc. (“WolfStrata,” “Company,” “we,” “us,” or “our”) and the individual or organization accessing or using any software-as-a-service application, website, platform, integration, tool, workflow, or related service provided by The WolfStrata Group Inc. (“Service,” “Application,” or “Applications”).
By creating an account, accessing an Application, connecting third-party systems, clicking “I Agree,” or using any part of the Service, you agree to be bound by this Agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to this Agreement.
If you do not agree to this Agreement, you must not access or use the Service.
1. The Service
The WolfStrata Group Inc. provides software applications and related services that may include business workflow automation, billing reconciliation, invoicing workflows, licensing management, reporting, analytics, artificial intelligence assistance, cybersecurity, integration, documentation, operational, or other business software functionality.
The Service may help customers synchronize, review, reconcile, adjust, approve, analyze, or transmit data from supported third-party systems.
The Service is an intermediary workflow and software tool. It does not replace your accounting system, tax advisor, legal advisor, financial controls, cybersecurity program, compliance program, or responsibility to review and approve outputs before relying on them.
2. License Grant
Subject to your compliance with this Agreement and payment of all applicable fees, The WolfStrata Group Inc. grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your internal business purposes during the applicable subscription term.
This Agreement grants you a right to use the Service only. No ownership rights are transferred to you.
3. Ownership
The Service, including software, source code, object code, workflows, user interfaces, architecture, designs, documentation, reports, templates, algorithms, automation logic, trademarks, service marks, trade names, know-how, and related intellectual property, is owned by The WolfStrata Group Inc. or its licensors.
You retain ownership of your Customer Data, as defined below.
4. SaaS Access Only
The Service is provided as hosted software-as-a-service. You do not receive any right to download, copy, modify, reverse engineer, decompile, disassemble, reproduce, resell, lease, distribute, or create derivative works from the Service, except as expressly permitted in writing by The WolfStrata Group Inc.
5. Account Registration and Authorized Users
You are responsible for all activity under your account and for ensuring that only authorized users access the Service.
You are responsible for maintaining accurate account information, configuring appropriate permissions, managing identity provider or single sign-on settings where used, maintaining approval workflows, removing access when no longer needed, and notifying us of suspected unauthorized access or credential compromise.
6. Customer Responsibilities
You are solely responsible for:
- Reviewing all outputs, reports, calculations, recommendations, mappings, invoices, alerts, or workflow results before relying on them.
- Confirming all data before it is pushed to any connected third-party system.
- Maintaining valid third-party accounts, credentials, API access, and permissions.
- Ensuring your use of the Service complies with applicable laws, contracts, tax rules, privacy obligations, accounting standards, cybersecurity obligations, and customer commitments.
- Maintaining your own business controls, records, backups, and compliance program.
The Service may assist with automation, analysis, reconciliation, and workflow management, but final responsibility for business decisions remains with you.
7. Third-Party Integrations
The Service may connect to third-party platforms, including accounting systems, invoicing systems, licensing providers, subscription management platforms, distribution platforms, customer management systems, documentation systems, professional services automation systems, identity providers, cloud infrastructure providers, payment processors, analytics providers, artificial intelligence providers, and other business systems.
Third-party services are not controlled by The WolfStrata Group Inc. We are not responsible for third-party outages, API changes, authentication changes, rate limits, data inaccuracies, pricing changes, licensing rule changes, rejected transactions, delayed synchronization, policy changes, or suspension of your third-party accounts.
Your use of third-party services remains subject to their separate terms, policies, fees, and restrictions.
8. Connected System Data
If you connect the Service to a third-party system, you authorize The WolfStrata Group Inc. to access and process the data necessary to provide the Service.
You are solely responsible for reviewing data before it is approved, transmitted, exported, or pushed to any connected system.
The WolfStrata Group Inc. is not responsible for the accuracy, completeness, timeliness, availability, pricing, configuration, permissions, security, or API behaviour of third-party systems.
9. Customer Data
“Customer Data” means data, content, records, credentials, metadata, files, configuration information, business data, customer information, billing data, licensing data, invoice data, security data, operational data, integration data, and other information submitted to, uploaded to, connected to, synchronized with, or generated through the Service by or on behalf of you.
As between you and The WolfStrata Group Inc., you retain ownership of Customer Data.
You grant The WolfStrata Group Inc. a limited right to host, process, transmit, store, display, use, and generate operational outputs from Customer Data solely as necessary to provide, secure, support, maintain, improve, and troubleshoot the Service, comply with applicable law, and enforce this Agreement.
We will not sell Customer Data.
10. Customer Data Rights and Permissions
You represent and warrant that you have all necessary rights, consents, permissions, notices, and lawful bases required to provide Customer Data to the Service and allow us to process it.
You are responsible for ensuring that your customers, employees, contractors, users, and other individuals receive all required privacy notices and provide all required consents where applicable.
11. Sensitive Data Restrictions
The Service is not designed to store highly sensitive personal information unless expressly agreed in writing.
You must not upload or process through the Service any protected health information, payment card data, government identification numbers, financial account passwords, biometric data, criminal records, special category personal data under GDPR, or other regulated sensitive data unless The WolfStrata Group Inc. has expressly agreed in writing and appropriate legal and security controls are in place.
12. Security Measures
The WolfStrata Group Inc. will use commercially reasonable administrative, technical, and organizational safeguards designed to protect the Service and Customer Data against unauthorized access, loss, misuse, alteration, and disclosure.
These safeguards may include encryption in transit, encryption at rest where supported by infrastructure providers, application-level encryption of sensitive credentials and tokens, role-based access controls, secure session handling, audit logging, credential masking, restricted administrative access, vulnerability management, monitoring, backup and recovery procedures, incident response processes, least-privilege access principles, and secure configuration management.
No system can be guaranteed to be completely secure. We do not warrant that unauthorized access, data loss, service interruption, cyberattack, malware, ransomware, credential compromise, or other security incident will never occur.
13. Compliance Support
The Service is designed to support reasonable security, privacy, and governance practices aligned with commonly recognized frameworks and legal obligations, which may include SOC 2 Trust Services Criteria, ISO/IEC 27001-style information security management principles, GDPR, PIPEDA, CCPA/CPRA, and other North American privacy and cybersecurity expectations.
Unless expressly stated in a separate written agreement, The WolfStrata Group Inc. does not represent or warrant that the Service, your use of the Service, or any output from the Service is certified, audited, compliant, or sufficient to satisfy SOC 2, ISO/IEC 27001, GDPR, PIPEDA, CCPA/CPRA, HIPAA, PCI DSS, tax law, accounting standards, industry regulations, or contractual obligations applicable to you.
14. Privacy and Data Protection
The Service will process Customer Data in accordance with this Agreement and The WolfStrata Group Inc. Privacy Policy.
To the extent we process personal information on your behalf, The WolfStrata Group Inc. will act as a service provider, processor, or similar role under applicable privacy laws, unless otherwise stated in a separate written agreement.
Where required, the parties may enter into a separate Data Processing Addendum.
15. Artificial Intelligence Features
The Service may include artificial intelligence or machine-assisted features, including mapping suggestions, classification, summaries, discrepancy detection, recommendations, explanations, and automated assistance.
AI-generated outputs are provided for assistance only and may be incomplete, inaccurate, or unsuitable for your use case. You are responsible for reviewing, validating, approving, correcting, or rejecting all AI-generated outputs before relying on them.
16. Outputs and Review
The Service may generate drafts, reports, calculations, recommendations, alerts, previews, exports, workflow actions, or other outputs.
All outputs are drafts until reviewed and approved by you. You are solely responsible for verifying all outputs before relying on them or transmitting them to any third party or connected system.
The WolfStrata Group Inc. is not liable for business losses, errors, disputes, penalties, incorrect calculations, incorrect decisions, missed revenue, overbilling, underbilling, compliance failures, tax errors, accounting errors, security findings, or other consequences arising from your configuration, review, approval, or use of outputs.
17. Prohibited Use
You must not use the Service for unlawful, fraudulent, deceptive, abusive, or harmful purposes; attempt unauthorized access; interfere with the Service; circumvent controls; upload malware; reverse engineer, scrape, copy, resell, or exploit the Service; process data you are not authorized to process; violate third-party terms; create a competing product; or conduct penetration testing or vulnerability scanning without prior written authorization.
18. Availability and Support
The WolfStrata Group Inc. will use commercially reasonable efforts to make the Service available, subject to maintenance, updates, outages, force majeure events, security issues, third-party provider failures, API disruptions, internet disruptions, and circumstances beyond our reasonable control.
We do not guarantee uninterrupted, error-free, or always-available service unless expressly stated in a separate written service level agreement.
19. Changes to the Service
The WolfStrata Group Inc. may modify, update, enhance, suspend, restrict, replace, or discontinue any feature, integration, workflow, user interface, report, API connection, or part of the Service at any time.
20. Discontinuation of the Service
The Service may be discontinued at any time, in whole or in part, with or without prior notice, subject to any written commitments in an active subscription agreement.
If the Service is discontinued, The WolfStrata Group Inc. may provide a reasonable opportunity to export available Customer Data where commercially reasonable and legally permitted.
The WolfStrata Group Inc. will not be liable for damages, losses, business interruption, lost profits, lost revenue, customer disputes, replacement costs, or other consequences arising from suspension or discontinuation of the Service.
21. Fees and Payment
You agree to pay all fees associated with your subscription or use of the Service.
Fees are non-refundable except as expressly required by law or stated in a separate written agreement.
The WolfStrata Group Inc. may suspend or terminate access for non-payment, payment disputes, chargebacks, expired payment methods, or suspected fraudulent payment activity.
22. Confidentiality
Each party may receive confidential or proprietary information from the other. The receiving party agrees to use reasonable care to protect confidential information and to use it only for purposes of performing under this Agreement.
23. Intellectual Property and Feedback
The WolfStrata Group Inc. owns all intellectual property in the Service. You own your Customer Data.
If you provide suggestions, ideas, improvements, feature requests, bug reports, or other feedback, you grant The WolfStrata Group Inc. a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, modify, commercialize, and exploit that feedback without restriction or compensation.
24. Aggregated and De-Identified Data
The WolfStrata Group Inc. may use aggregated, anonymized, or de-identified data derived from use of the Service for analytics, security, benchmarking, product improvement, operational reporting, and business purposes, provided such data does not identify you, your users, your customers, or any individual.
25. Beta Features
The Service may include beta, preview, experimental, or early-access features. Such features are provided “as is,” may be changed or discontinued at any time, may contain errors, and should not be used for mission-critical production decisions unless expressly approved in writing.
26. Data Retention and Deletion
The WolfStrata Group Inc. may retain Customer Data for the duration of your subscription and for a reasonable period thereafter for backup, legal, audit, security, dispute resolution, tax, accounting, and legitimate business purposes.
Upon termination, we may delete Customer Data in accordance with our retention policies, unless legally required or permitted to retain it.
27. Suspension and Termination
The WolfStrata Group Inc. may suspend or terminate your access immediately if you breach this Agreement, fail to pay fees, create security or legal risk, violate third-party terms, engage in suspected fraud or abuse, or if the Service is discontinued.
Upon termination, your license to use the Service ends immediately.
28. Disclaimers
The Service is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, The WolfStrata Group Inc. disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, uninterrupted operation, and suitability for your business, accounting, tax, legal, cybersecurity, or compliance needs.
29. No Professional Advice
The Service does not provide legal, tax, accounting, financial, cybersecurity, compliance, or professional advice.
Any reports, alerts, calculations, summaries, or recommendations are for operational assistance only. You should consult qualified professionals for legal, tax, accounting, privacy, cybersecurity, and compliance advice.
30. Limitation of Liability
To the maximum extent permitted by law, The WolfStrata Group Inc. and its owners, directors, officers, employees, contractors, affiliates, suppliers, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, enhanced, or similar damages, including lost profits, lost revenue, lost business, business interruption, loss of goodwill, loss of data, customer disputes, replacement costs, accounting errors, tax liabilities, regulatory penalties, security incidents, or third-party platform failures.
To the maximum extent permitted by law, The WolfStrata Group Inc.’s total aggregate liability arising out of or relating to this Agreement or the Service will not exceed the greater of:
- The fees paid by you to The WolfStrata Group Inc. for the Service in the three months immediately preceding the event giving rise to the claim; or
- CAD $100.
31. Indemnification
You agree to defend, indemnify, and hold harmless The WolfStrata Group Inc. and its owners, directors, officers, employees, contractors, affiliates, suppliers, licensors, and service providers from claims, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or related to your use of the Service, Customer Data, business decisions, breach of this Agreement, violation of law, violation of third-party rights or terms, failure to obtain required consents, or disputes between you and your customers.
32. Export, Sanctions, and Anti-Corruption Compliance
You may not use the Service in violation of applicable export control, sanctions, anti-corruption, anti-money laundering, or trade compliance laws.
33. Government and High-Risk Use
The Service is not designed for emergency services, life safety systems, critical infrastructure control, medical diagnosis, military targeting, nuclear facilities, aviation control, or other high-risk uses where failure could result in death, personal injury, severe environmental damage, or catastrophic harm.
34. Governing Law and Venue
This Agreement will be governed by the laws of the Province of Manitoba and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Subject to any mandatory legal rights that cannot be waived, the courts located in Winnipeg, Manitoba, Canada will have exclusive jurisdiction over any dispute arising out of or relating to this Agreement or the Service.
35. Dispute Resolution
Before commencing legal proceedings, the parties agree to attempt in good faith to resolve any dispute through written notice and business-level discussions.
Either party may seek urgent injunctive or equitable relief where necessary to protect confidential information, intellectual property, security, data, or systems.
36. Class Action Waiver
To the maximum extent permitted by law, disputes must be brought only on an individual basis and not as a plaintiff or class member in any purported class, collective, representative, or consolidated action.
37. Force Majeure
The WolfStrata Group Inc. will not be liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, internet failures, cloud provider outages, third-party API outages, power failures, cyberattacks, ransomware, denial-of-service attacks, government actions, pandemics, or supply chain disruptions.
38. Changes to this Agreement
The WolfStrata Group Inc. may update this Agreement from time to time. Updated terms will be posted in the Service or on the WolfStrata website.
Your continued use of the Service after updated terms become effective constitutes acceptance of the updated Agreement.
39. Assignment
You may not assign this Agreement without The WolfStrata Group Inc.’s prior written consent. The WolfStrata Group Inc. may assign this Agreement in connection with a merger, acquisition, corporate reorganization, sale of assets, financing, or transfer of business operations.
40. Severability
If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full force and effect.
41. Entire Agreement
This Agreement, together with the Privacy Policy and any applicable order form, subscription terms, or data processing agreement, constitutes the entire agreement between you and The WolfStrata Group Inc. regarding the Service.
